Terms of Service
1. Agreement and scope
These Terms govern access to the Tradee application, websites linking to these Terms, and associated features (the “Interface”). They set out the terms on which Tradee (“we”, “us”) provides the Interface to you. Review them before creating an account or using transaction features. If you do not agree, do not use those services.
Our Privacy Policy explains the processing of personal information. A reference to that Policy does not turn every processing activity into consent or waive any mandatory privacy right.
The geographic and personal eligibility restrictions in Sections 3–4 are central conditions of access. Public access to legal notices, privacy-rights channels or support for an existing issue does not grant eligibility to register or transact.
2. Tradee is an interface layer
Tradee is a software interface for interacting with non-custodial wallets and third-party blockchain and transaction infrastructure. Tradee does not operate a centralized exchange, its own exchange order book, or an internal marketplace that matches users' orders.
Through the Interface, eligible users can discover supported digital assets, view market and portfolio information, obtain third-party quotes, review proposed transactions and submit transactions they authorize and sign. Tradee also provides community, performance, rewards/referrals and AI features where available.
Tradee's role includes selecting the assets accessible through its Interface, applying its eligibility and transaction policies, communicating with wallet and routing providers, preparing or relaying authorized transaction data, recording status, reconciling blockchain information and charging disclosed interface fees. These activities do not mean Tradee operates the underlying liquidity venues or Solana network.
In the supported transaction flow, assets move through your wallet and the relevant third-party programs. Tradee does not maintain a custodial trading balance for you, hold your private keys, issue the third-party assets displayed in the Interface, or become the counterparty to your swap merely by routing it. Public-chain ownership is determined by the relevant Solana records, not by a Tradee display or database entry.
The description “interface layer” describes how the product operates. It does not override applicable law, determine the legal classification of an asset or activity, or exclude obligations that legally apply to Tradee. Nothing in these Terms represents that Tradee holds a regulatory license or authorization that has not been obtained.
3. Who may use Tradee
You must be at least 18, have the legal capacity to enter this agreement, and be legally permitted to use the relevant feature and asset. You must provide accurate information required for your account and the services you request.
You are not eligible to create an account or use Tradee's application services if any of the following applies:
- You hold citizenship or nationality of the United States, any European country listed in Schedule A, or Vietnam. This includes dual or multiple nationality and applies even if you live elsewhere.
- You reside in, are ordinarily resident in, or are physically located in the United States, any jurisdiction in Schedule A, or Vietnam. Access while visiting a restricted location is also prohibited.
- If using the Interface for an organization, that organization is incorporated, organized, registered, headquartered or principally operating in a restricted jurisdiction; or you are using the Interface on behalf of or for the benefit of a person excluded by this section. A nominee, organization or intermediary may not be used to circumvent the personal restrictions.
- You are a U.S. Person under the eligibility definition applicable to the relevant asset or provider, even if you are not otherwise captured above.
- The relevant service or transaction would violate applicable sanctions, asset-specific restrictions or other applicable law, including where a required authorization has not been obtained.
For these Terms, the United States includes its states, the District of Columbia and its territories and possessions. “Vietnam” means the Socialist Republic of Vietnam. The European scope is defined in Schedule A and extends beyond the EU and EEA.
If Tradee permits organizational use, the person accepting these Terms must have authority to bind that organization. This provision does not promise that a business-account product is available.
An app download, working account, visible asset or available quote is not evidence that you are eligible. You remain subject to these conditions throughout use. If your eligibility changes, stop using the restricted features and contact contact@usetradee.com about your existing account. Do not circumvent a restriction to move assets through the Interface.
4. Geographic restrictions and lawful access
You must not disguise nationality, residence, location or the beneficial user through false information, a nominee, a VPN, proxy, remote-access service or similar means to bypass these restrictions. The restriction concerns circumvention; it does not state that every use of a privacy technology is unlawful.
Access to particular assets may be narrower than general access to Tradee. An issuer, wallet provider, liquidity venue or routing provider may apply additional eligibility or transfer restrictions. Permission to use one feature does not give permission to use every asset or third-party service.
Tradee may refuse or restrict access when required by these Terms or applicable law. Any request for additional verification must be accompanied by the applicable privacy information.
Where a restriction affects an existing account, Tradee must handle access and support in accordance with applicable law and the non-custodial nature of the wallet. Suspension does not transfer your assets to Tradee or authorize confiscation. These Terms do not promise an in-app withdrawal, sale or other transaction where providing it would be unlawful or technically unavailable.
5. Your account and wallet
Tradee uses Privy for supported authentication, embedded wallet and signing functionality. Protect the email account, linked identity, device and other credentials used to access your wallet. Use only the wallet provider's supported recovery or secure-export mechanisms.
Tradee does not receive, store, transmit, log, reconstruct or otherwise access your private keys. Never disclose a key, recovery phrase or authentication code to Tradee support, community users or an AI feature. Tradee cannot reverse a finalized blockchain transfer or recreate a lost private key.
You are responsible for the instructions you authorize and for taking reasonable steps to protect your access. This responsibility does not excuse Tradee from liability or duties that applicable law places on it, including for its own conduct.
6. Supported assets and what you own
The Interface may display selected tokenized equities, other supported tokens and Stockmemes. Only an asset authorized by Tradee's backend transaction policy may be traded through Tradee. A discovery listing, issuer name, ticker, logo or token existing on Solana does not itself grant trading permission or constitute an endorsement.
Tokenized equities can have different legal structures. A token is not necessarily a directly registered share in the named company. Voting rights, dividends or adjustments, backing, redemption, transfer limits, insolvency treatment and claims against an issuer depend on that token's governing documents. Tradee does not create or guarantee those rights.
Stockmemes and other meme or thematic tokens must not be treated as shares merely because of a name, stock ticker, theme or liquidity pairing. A pairing with a tokenized stock does not establish ownership of the underlying company, a redemption right, equity backing or a guaranteed return.
Review the relevant issuer and provider documents before transacting. Asset availability can change because of policy, issuer restrictions, liquidity, technical issues or legal requirements. Removing access through Tradee does not itself extinguish onchain ownership, but it can prevent you from transacting through this Interface.
7. Review, authorization and transaction processing
Every user-initiated buy, sell, withdrawal or other asset transaction must follow Tradee's normal review, confirmation, backend policy checks and wallet-signing flow. Sponsorship, a social action, an AI response, a notification or a provider callback is not authorization to move assets.
Review the token identity, network, amount, recipient where relevant, fees, estimated result and any applicable transaction limits before signing. Tradee relays the transaction within the scope you authorize. A materially changed transaction requires the applicable renewed review and signing; a retry must not become permission for a different transaction.
Quotes and portfolio prices serve different purposes. A displayed market price is not a promise of an executable quote. Actual results depend on the authorized transaction, liquidity, price movement, permitted slippage, provider processing and blockchain confirmation.
Submitting a request is not the same as final settlement. Pending or uncertain outcomes must be checked against available network evidence. Finalized blockchain transactions generally cannot be cancelled or refunded by Tradee. Nothing here removes a remedy you may have for a provider's or Tradee's legal responsibility.
8. Interface fees and network charges
Tradee charges for use of its transaction interface. The current base service fee is 0.25% (25 basis points) for buys and sells, before any applicable promotional discount. There is currently no percentage-based Tradee service fee on supported USDC withdrawals. Network charges still apply.
The current network charge is collected in USDC. Its network-cost component is calculated at 1.5 times the estimated Solana network cost, converted using the relevant SOL/USD estimate and rounded to the nearest cent, with half-cent amounts rounded up. Where the transaction requires additional token-account funding, a fixed 0.15 USDC account-creation component applies once to the transaction unless an applicable promotion waives it. The combined network charge has a 0.01 USDC minimum. It is a quoted charge and is not necessarily equal to the network fee ultimately paid in SOL.
The service fee is calculated in USDC base units and rounded down to a USDC base unit. Applicable discounts and waivers are reflected in the reviewed quote. No promotion is promised merely by this description.
Buy: Your entered gross USDC amount is the total wallet debit. Disclosed service and network charges are deducted within it; they are not added on top. The remainder is available for the swap.
Sell: Disclosed service and network charges are deducted from gross proceeds. You receive the net proceeds; the charges are not separately added as an extra debit to the sale.
Withdraw: Your entered gross USDC amount is the total wallet debit. The recipient receives that amount minus the disclosed withdrawal charges.
Illustration only: a 100.00 USDC buy with a 0.25 USDC service fee and a 0.01 USDC network charge debits 100.00 USDC in total and uses 99.74 USDC for the swap. The example is not a standing quote or a guarantee that USDC always equals one U.S. dollar.
You do not need to hold SOL for the supported sponsored flow. This does not mean the USDC network charge is zero. Provider spreads or liquidity effects may be reflected in the exchange rate or output and are not a promise of a fee-free swap. There must be no undisclosed extra debit beyond the reviewed authorization.
Changes to fees apply to future transactions following appropriate notice and disclosure. The applicable amounts and benefits must be shown before authorization; a later fee change does not authorize changing a transaction you already approved.
9. Funding and withdrawals
Only the supported, verified USDC token on Solana is recognized as a Tradee funding deposit. A token's symbol alone does not establish that it is the supported USDC mint. SOL, USDT, tokenized equities, Stockmemes and tokens on other networks are not credited as Tradee USDC deposits.
“Deposit”, “cash” and “buying power” in the Interface describe relevant wallet assets or accounting displays. They do not mean money is placed in a Tradee bank account or a custodial exchange balance. Receiving a different token in a wallet does not make it an accepted funding asset, even if it can be displayed as a holding.
Verify the network, asset and address before making a transfer. Unsupported or incorrectly directed transfers may be inaccessible through Tradee; recovery is not guaranteed. Reconciliation and finality checks can delay a displayed balance update.
Supported withdrawals transfer USDC to the reviewed destination on Solana. They are not a promise of fiat bank withdrawal, issuer redemption or support for every token. Third-party funding services, if separately enabled and used, have their own availability, fees and terms.
10. Third-party dependencies
The Interface depends on Privy, DFlow, Solana infrastructure, liquidity venues and relevant asset/data providers. Third-party outages, changed terms, network congestion, issuer actions or protocol restrictions can affect access and results.
You must meet the terms and eligibility requirements applicable to services you actually use. A third-party name or link is not a guarantee of that provider's performance or an assertion that every provider offers its service to you. Tradee remains responsible for its own role and for obligations that cannot lawfully be excluded.
11. Market information, performance and risk
Digital assets can lose substantial value or become illiquid. Risks include price volatility, slippage, stablecoin depegging or freezing, smart-contract defects, network interruption, malicious activity, issuer or custodian failure, loss of wallet access and changes in law. You may lose the entire value committed to an asset.
Token prices can differ from the price of a referenced stock. U.S. market hours, issuer arrangements, secondary-market liquidity and corporate actions can affect pricing and transferability. A displayed U.S. dollar amount may use a valuation convention rather than a guaranteed redemption or conversion rate.
Portfolio values, cost basis, profit/loss and rankings depend on the available records, methodology and observation times. They may be incomplete or delayed, particularly for external transfers or unknown acquisition costs. “Verified” does not mean audited financial statements, verification of every transaction a user has ever made, or a forecast of future performance.
Tradee does not provide a contractual guarantee of deposit insurance, securities-investor compensation, principal protection, liquidity or investment returns. Any protection attached to a specific issuer or product must be determined from its actual legal arrangements.
12. AI and investment decisions
AI features provide information and analysis based on available, authorized context. Outputs can be inaccurate, outdated or incomplete. A response that references your portfolio is not a guarantee that an asset is suitable for your circumstances or that a regulated advisory relationship has been established.
AI may propose a non-executable trade idea or TradeIntent. It cannot autonomously buy, sell, withdraw or otherwise move your assets. You must make your own decision and complete the ordinary transaction review and signing flow.
Market commentary, community content and AI output are not a substitute for independently evaluating risk or obtaining qualified financial, legal or tax advice where needed. A disclaimer does not remove an obligation arising from the actual nature of a service under applicable law.
13. Community and user content
You remain responsible for content you post and for having the necessary rights to share it. You retain your rights in your content and grant Tradee a non-exclusive license to host, reproduce, format and display it only as reasonably needed to provide the feature and distribution you use, subject to the Privacy Policy and applicable law.
Do not post fraudulent promotions, impersonation, unlawful content, confidential information belonging to others, or material that infringes another person's rights. Do not manipulate markets or rankings, fabricate performance claims, exploit referral programs or use the Interface for money laundering or other unlawful activity.
Where you promote an asset or referral opportunity, disclose material financial interests or compensation as required by law. Following a user, liking a post or seeing a thesis does not authorize a transaction or make that person's statements Tradee's advice.
Tradee may remove or limit content or accounts that violate these Terms or applicable law. Where legally required, it will provide notice and applicable review or complaint rights. Public display, retention and deletion are described in the Privacy Policy.
14. Rewards, referrals and promotions
Specific programs are subject to the eligibility, qualifying events, amounts, limits and timing disclosed for that program. A promotional illustration, pending record or “Free Stock” label is not a guarantee of a cash payment, a direct share in a company or a delivered onchain asset.
Trade-based eligibility depends on the applicable finalized transaction evidence. Rewards do not waive geographic restrictions, asset policy, wallet security or any required user authorization. Do not create false accounts, self-referrals or artificial activity to claim benefits contrary to the applicable program rules.
These Terms do not introduce a new right to confiscate assets, reverse an onchain transfer or claw back a reward. Any program-specific adjustment must follow its disclosed terms and applicable law. You are responsible for applicable personal tax obligations arising from transactions and rewards.
15. Acceptable use and intellectual property
Use the Interface lawfully. Do not steal credentials, bypass authorization, introduce malicious code, interfere with systems, exploit faults to take assets or access private information without authorization. Mandatory legal rights concerning interoperability, security research and consumer protection are not waived by this provision.
Tradee or its licensors retain rights in the Interface's software, branding and original materials. You receive a limited permission to use the Interface in accordance with these Terms, not ownership of its intellectual property. Third-party names and logos remain the property of their owners and do not necessarily imply sponsorship.
16. Availability, suspension and account closure
The Interface may be interrupted by maintenance, provider outages or other operational issues. Tradee may restrict a feature or account for a material breach, ineligibility, security risk or legal requirement, with notice where reasonably practicable and legally permitted.
Restrictions apply to the Interface; they do not give Tradee possession of your private keys or ownership of your assets. Access to wallet recovery or independent tools depends on the wallet provider and applicable law. No guaranteed asset-exit route is created by this clause.
You may stop using Tradee and request account deletion through Profile → Settings → Legal & Privacy → Delete Account, or contact contact@usetradee.com. The current control submits a request for review. It does not immediately close the account, dispose of holdings, withdraw USDC or erase financial and blockchain records. Information handling follows the Privacy Policy and mandatory legal requirements.
17. Warranties and responsibility
To the extent permitted by law, the Interface and third-party information are provided as available, without a promise of uninterrupted access, error-free data, continuous liquidity or a particular investment result. Tradee cannot guarantee third-party infrastructure or blockchain outcomes it does not control.
To the extent lawful, Tradee is not responsible for losses attributable to ordinary market movements, risks inherent in an asset, or a third party's conduct where Tradee has no legal responsibility for that conduct. This does not exclude liability for Tradee's own breach or wrongdoing where the law imposes it.
Nothing in these Terms excludes or limits responsibility for fraud, wilful misconduct, or any other liability or statutory remedy that cannot lawfully be excluded or limited. Mandatory consumer and data-protection rights continue to apply.
18. Complaints, governing law and disputes
Send complaints to contact@usetradee.com with sufficient information to identify the issue, without sharing private keys or authentication codes. We will address complaints in accordance with applicable legal requirements. Contacting support is not a waiver of your right to seek an available remedy or urgent relief.
The governing law and competent courts are determined under the applicable rules of law and jurisdiction. These Terms do not select an exclusive national law or forum, require compulsory arbitration, or waive a mandatory right to bring a claim before a competent court or authority.
19. Changes and general provisions
Material changes to these Terms will be communicated before taking effect where required by law. A changed effective date identifies the applicable version. Additional acceptance will be obtained where required. Updates cannot retrospectively authorize an asset transaction or remove accrued mandatory rights.
If part of these Terms is unenforceable, the remainder applies to the extent lawful. Not enforcing a provision on one occasion does not necessarily waive it. Any transfer of the operator's contractual role must comply with applicable law and required notices; it does not transfer ownership of your wallet assets.

Schedule A — European restriction
For Tradee's eligibility policy, “Europe” includes all countries and territories in the list below. The whole of a listed country is restricted, including a country spanning more than one continent; the restriction is not confined to its European land area.
Albania; Andorra; Armenia; Austria; Azerbaijan; Belarus; Belgium; Bosnia and Herzegovina; Bulgaria; Croatia; Cyprus; Czechia; Denmark; Estonia; Finland; France; Georgia; Germany; Greece; Hungary; Iceland; Ireland; Italy; Kazakhstan; Kosovo; Latvia; Liechtenstein; Lithuania; Luxembourg; Malta; Moldova; Monaco; Montenegro; the Netherlands; North Macedonia; Norway; Poland; Portugal; Romania; Russia; San Marino; Serbia; Slovakia; Slovenia; Spain; Sweden; Switzerland; Türkiye (Turkey); Ukraine; the United Kingdom; and Vatican City/Holy See.
This scope also includes the Åland Islands, Faroe Islands, Gibraltar, Guernsey, Jersey, the Isle of Man, Svalbard and Jan Mayen, and territories or disputed areas geographically within the listed European region. The nationality restriction applies through the nationality held; the residence and physical-location restrictions apply to these territories themselves.
This is an expressly defined commercial scope, including transcontinental and Europe-associated countries to avoid ambiguity. It does not express a position on sovereignty or claim that every country is classified as European by every geographical standard. Other overseas territories are not automatically included merely because they are linked to a European country; citizenship, applicable law, sanctions and asset-specific restrictions still apply.
